1. Agreement to Terms
By accessing or using the services provided by ArcNova Innovations, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use our services.
2. Services
We provide software-as-a-service (SaaS) solutions, web development, IT consulting, and related digital services including:
- Software deployment and hosting
- Custom software development
- IT infrastructure management
- Technical support and maintenance
3. Account Registration
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- One person or entity may not maintain more than one account
- You are responsible for all activities that occur under your account
4. Electronic Communications Consent
By creating an account or placing an order, you consent to receive electronic communications from us, including:
- Order confirmations and deployment notifications
- Service updates and maintenance notices
- Security alerts and account notifications
- Support ticket responses
You may opt out of non-essential communications at any time by contacting support.
5. Payment Terms
- All prices are listed in USD unless otherwise stated
- Payment is due at the time of purchase for one-time plans
- Subscription payments are charged at the beginning of each billing cycle
- Failed payments may result in service suspension after a 7-day grace period
- All fees are non-refundable except as stated in our Refund Policy
- Prices may change with 30 days' advance notice for existing subscribers
6. Service Level Agreement
- We target 99.5% uptime for all hosted services on a best-effort basis
- Scheduled maintenance will be communicated 24 hours in advance
- Support is available during business hours (9 AM – 6 PM PKT, Mon–Sat)
- Critical issues are addressed within 4 hours during business hours
- Uptime excludes scheduled maintenance, force majeure events, and third-party outages
7. Acceptable Use
You agree NOT to use our services to:
- Violate any applicable laws or regulations
- Distribute malware, spam, or harmful content
- Attempt to gain unauthorized access to other systems
- Overload or disrupt our infrastructure
- Store or distribute illegal content
- Resell our services without prior written agreement
8. Intellectual Property
- All software, designs, and content created by us remain our intellectual property unless explicitly transferred
- You receive a non-exclusive, non-transferable license to use the software for the duration of your subscription
- Custom development work ownership is transferred upon full payment (unless otherwise agreed in writing)
- You retain full ownership of your data at all times
9. Data Ownership & Backup
- Your data belongs to you. We do not claim ownership of your content
- We perform regular backups but recommend you maintain your own backups
- Upon account termination, your data will be available for export for 30 days
- After 30 days, data will be permanently deleted unless legally required to retain
10. Suspension & Termination
We may suspend or terminate your account if:
- You violate these Terms & Conditions
- Payment is overdue for more than 14 days
- Your usage poses a security risk to other users
- Required by law enforcement or legal order
You may cancel your account at any time from your Customer Dashboard or by contacting support. Cancellation takes effect at the end of the current billing period.
11. Indemnification
You agree to indemnify and hold harmless ArcNova Innovations, its officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Content you upload, store, or distribute through our services
12. Limitation of Liability
ArcNova Innovations shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of data due to circumstances beyond our control
- Service interruptions caused by third-party providers
- Damages exceeding the total amount paid by you in the last 12 months
Note: This limitation does not affect your statutory rights as a consumer under EU law.
13. Disclaimer
Our services are provided "as is" without warranties of any kind, either express or implied, to the maximum extent permitted by law. We do not guarantee that our services will be uninterrupted, error-free, or completely secure.
14. Force Majeure
Neither party shall be liable for failure or delay in performing obligations due to causes beyond reasonable control, including but not limited to:
- Natural disasters, pandemics, or epidemics
- War, terrorism, or civil unrest
- Government actions, sanctions, or embargoes
- Internet or power infrastructure failures
- Third-party service provider outages
The affected party must notify the other party promptly and make reasonable efforts to mitigate the impact.
15. EU Consumer Rights
If you are a consumer in the European Union:
- You have a 14-day right of withdrawal for digital services (see our Refund Policy)
- Nothing in these Terms limits your mandatory consumer protection rights under EU law
- Any unfair terms under the EU Unfair Contract Terms Directive shall not apply to you
- You may use the EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr
16. Governing Law & Disputes
These terms shall be governed by the laws of Pakistan. For non-EU consumers, any disputes shall be resolved through arbitration in Lahore, Pakistan, under the Arbitration Act 1940.
For EU consumers: You may bring proceedings in the courts of your country of residence. Mandatory consumer protection laws of your country of residence shall apply where they provide greater protection.
17. Changes to Terms
We reserve the right to modify these terms with 30 days' advance notice. We will notify registered users via email of material changes. Continued use of our services after the notice period constitutes acceptance of the new terms.
